1. Introduction

Welcome to Rostery. These Terms of Service ("Terms") govern your access to and use of the Rostery Excel add-in, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Definitions

• Service: Refers to the Rostery Excel add-in, website, and related applications operated by Rostery.
• User: An individual who accesses or uses the Service for personal or business purposes.
• Account: The registration and login system provided by the Service that allows Users to access certain features and functionalities.
• Subscription: The paid service plan that grants Users access to particular features and limitations based on the selected tier.
• Content: Refers to data, text, information, and other materials that Users input, upload, or access through the Service.

3. Account Registration and Security

To use certain features of the Service, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for:

• All activities that occur under your Account

We reserve the right to disable any user Account, at any time and without notice, if we believe you have violated these Terms.

4. Subscriptions and Payments

By selecting a subscription plan, you agree to pay the applicable fees. Unless otherwise stated:

• Subscription fees are charged on a recurring basis (monthly or annually) until canceled
• Payments are non-refundable
• You may cancel your subscription at any time, with the cancellation taking effect at the end of the current billing period
• We reserve the right to change our subscription fees upon reasonable notice

If we are unable to process payment through your selected payment method, we reserve the right to suspend or terminate your access to the Service.

5. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Use the Service to transmit or upload any material that contains viruses, Trojan horses, or other harmful code
• Attempt to gain unauthorized access to any part of the Service, other Accounts, or computer systems through hacking, password mining, or any other means
• Use the Service to infringe upon intellectual property rights or other proprietary rights of any third party
• Use the Service to harass, abuse, or harm others
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use data mining, robots, or similar data gathering and extraction methods on the Service

6. Content and Data

You retain all rights to your Content and are responsible for all Content you submit, upload, or create through the Service. By using the Service and uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your Content solely for the purpose of providing, improving, and developing the Service.

You acknowledge and agree that:

• You are solely responsible for your Content and its legality, reliability, and appropriateness
• We may, but have no obligation to, monitor and review Content uploaded to the Service
• We may remove any Content that violates these Terms or that we determine is otherwise objectionable
• You are responsible for maintaining and protecting backups of your Content

7. Intellectual Property Rights

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Rostery and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Rostery.

8. Limitation of Liability

To the maximum extent permitted by law, Rostery and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount you paid to Rostery during the past twelve (12) months.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.

You acknowledge that we do not guarantee the accuracy, completeness, or reliability of any Content or information obtained through the Service, and you agree not to hold us liable for any decisions you make based on such Content or information.

10. Indemnification

You agree to defend, indemnify, and hold harmless Rostery and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your Content caused damage to a third party

11. Termination

We may terminate or suspend your Account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your Account, you may simply discontinue using the Service or delete your Account.

12. Changes to Terms of Service

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of California, United States.
